All services are provided directly by the Company.

Nothing in these Terms shall be interpreted as creating:

Joint venture
Employment relationship

5. Fees and Payment

All fees are payable to Ninty LLC
Payments are non-refundable, unless expressly agreed
Services may be suspended for non-payment
Client is responsible for all applicable taxes

6. No Guarantee of Results

Client acknowledges that:

SEO outcomes are inherently uncertain
Search engine rankings are controlled by third parties
No guarantees are made regarding:
- Rankings
- Traffic
- Revenue

7. Intellectual Property

Company retains all proprietary methodologies
Deliverables transfer only upon full payment

8. Third-Party Services

We may rely on third-party tools.
We are not liable for:

Platform changes
Algorithm updates
Service disruptions

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID IN THE LAST THREE (3) MONTHS

10. Indemnification

Client agrees to indemnify and hold harmless Ninty LLC against any claims arising from:

Client content
Violations of law
Third-party rights infringement

11. Termination

Company may terminate services:

For breach
For non-payment
At its discretion with reasonable notice

12. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.

13. Dispute Resolution

Mandatory Arbitration
Any dispute shall be resolved by binding arbitration under the rules of the:
American Arbitration Association (AAA)
Location Arbitration shall take place in:
Delaware, USA
No Court Litigation

Parties waive the right to court litigation
Except for injunctive relief

Class Action Waiver Client agrees:

No class actions
No collective proceedings

14. Force Majeure

The Company is not liable for events beyond its control.

We may modify these Terms at any time.
